We are seeking a Director, Assistant Company Secretary to join our team at Standard Chartered Bank in New York. The successful candidate will be working with the ED, Head of SC PLC Board Committees' Governance as well as other team members to drive origination, develop strong client relationships and be seen as an expert by internal and external stakeholders.

The role will be responsible for raising awareness of applicable corporate governance rules across the function and the creation of SMEs to assist with implementation and further development. It will also require significant contact with members of our Boards.The successful candidate will play a key role in ensuring that the Group is well prepared to address and implement its corporate governance obligations across the Group. Key Responsibilities

  • Ensure oversight and proper management of all matters within the remit of the US Risk Committee e.g. Resolution, Information Cyber Security, Third Party Risk Management, Model Risk Management, Whistleblowing, Remuneration and other matters assigned to the US Risk Committee as per the Committee Terms of Reference (and agreeing accountability of the US Risk Committee).
  • Be the central point of contact for the US Risk Committee, and ensure effective engagement with senior executives, Plc Court Board Members, Group Corporate Secretariat including the Head of Board Committees' Governance, other Risk management Committee Secretaries (as needed) and other stakeholders.
  • Manage the process of appointing members of the US Risk Committee, as applicable, taking account of regulatory requirements and balancing Group requirements.
  • Ensuring the delivery of the Committee Effectiveness Review annually, together with all necessary engagements and action plans arising from the Committee Effectiveness Review.
  • Ensure compliance with applicable laws and regulations in the US, and regulatory requirements and expectations in the US and UK as applicable and application of relevant corporate governance rules.
  • Promote high standards of corporate governance and act as a trusted advisor to the stakeholders and the US Risk Committee Members, including the Committee Chair.
  • Be the expert advisor and establish strong linkages with SC Bank Court Risk Committee, SC Bank Court and other relevant Risk Committees, including monitoring accountability of the US Risk Committee and managing escalations to the SC Bank Court Risk Committee/ SC Bank Court, as appropriate.
  • Be a strategic partner in the management of all corporate governance regulatory matters, as well as any other regulatory matters which impacts the US Risk Committee.
  • As applicable, provide effective leadership in the E A Cluster, communicate the vision of the function, and build commitment and energy to focus on key priorities. This will include regular team calls with GCS; and training on any group or function developments, management of US Risk Committee induction and engagement plans in line with Group standards and local requirements, ensuring strong linkages between the US Risk Committee and the PLC and Court Board and Board Committees.

Day-to-Day Tasks

US NON-BANKING SUBSIDIARIES

  • Ensure compliance with the Subsidiary Governance Policy and Standards in respect of the non-banking subsidiaries incorporated in the US.

  • As applicable, provide effective leadership in the E A Cluster, communicate the vision of the function, and build commitment and energy to focus on key priorities. This will include regular team calls with GCS; and training on any group or function developments.

  • Maintain close relationships with key stakeholders including the Cluster CEO, the Country Management Team, relevant business and function heads.

  • To undertake day to day oversight of the Group's entity information maintained in Diligent Entities database, the Group's "Golden Source" of statutory/corporate structure related information on Group entities and investments.

  • To provide support and advice in connection with requests for Group entity information for financial and regulatory reporting purposes and audits.

US RISK COMMITTEE MANAGEMENT

  • Lead and coordinate the organisation and preparation of committee papers, high quality minutes and other affairs of the US Risk Committee

  • Maintain all statutory records relevant to the US Risk Committees, accurate recording of minutes of meeting, ensuring retention of statutory records and minutes in accordance with the Group Retention Policy.

  • Manage all regulatory reporting in the US in respect of Standard Chartered Group and the US Risk Committee, as applicable.

  • Embed the terms of reference of the US Risk Committee, and where applicable, establish relevant delegation of authority in line with the Group Sources of Authority Framework.

  • Ensure relevant statutory filings in the US and any other jurisdictions.

  • Monitor and ensure compliance with applicable Corporate Governance Regulations and Guidelines, including board composition and director independence requirements for the US Risk Committee.

  • US NON-BANKING SUBSIDIARIES

  • Provide company secretarial and corporate governance support services for the US non-banking subsidiaries.

  • Lead and coordinate the organisation and preparation of papers and business for Board Meetings of the US non-banking subsidiaries.

  • Accurate recording in minutes of board meetings.

  • Issuance of Powers of Attorney based on the Power of Attorney Guidance, where required, and maintaining records on Blueprint.

  • Maintain a record of all constitutional documents and ensure these, along with any updates thereto, are filed with the relevant authorities in a timely manner.

  • Manage the requirement to file reports or events with relevant regulatory authorities as required.

  • Monitor and ensure compliance with applicable Corporate Governance Regulations and Guidelines, including board composition and director independence requirements.

Qualifications

  • A minimum of 8 years' experience in corporate governance preferably inthe financial services industry.
  • Experience in data gathering and reporting.
  • Previous experience in managing projects.
  • Hands on in process management
  • Knowledge of legal analysis
  • Data governance expertise is required.

Recruitment Assessments

Expected annual base pay range for the role is 136,221 USD to 204,322 USD. The final offer will be determined on an individualised basis using a number of variables, including but not limited to skill set, depth of experience and education, internal relativity, and specific work location. At Standard Chartered Bank, Base pay is only part of the total compensation package.
