Skills and Competencies

  • 10+ years total legal experience as an attorney practicing in a law firm and/or corporate law department
  • Exceptional communication and interpersonal skills, and a strong team orientation; ability to communicate confidently with senior management on complex legal and contractual issues
  • Strong analytical and writing skills
  • Strong contract drafting and negotiation skills and a sound understanding of various types of software licensing and services transactions, subscription-based business models and familiarity with software revenue recognition principles
  • Hardworking, well organized, detail-oriented and process-driven with a demonstrated ability to manage a diverse workload under demanding deadline pressures

Preferred Qualifications

Strong background in software licensing agreements

Education

  • Law degree from top tier law school
  • Member of a state bar in good standing

Responsibilities

The Senior Counsel position will focus on reviewing, drafting, and negotiating complex commercial contracts relating to data and software licensing. This position provides legal advice, information, and risk management strategies to various business units on a wide range of legal and regulatory issues affecting the corporation and its affiliates. This position works with business leaders and provides oversight and leadership to other Legal staff on projects and serves as lead legal counsel on various projects. In addition, the Senior Counsel position will:

  • Advise senior management and other internal stakeholders of the corporation and its affiliates on various legal and compliance issues by utilizing legal expertise to assess risk and to provide effective and appropriate recommendations regarding such risks.
  • Conduct all aspects of contract drafting and lead negotiations concerning software and data licenses, SaaS product subscriptions and related service level agreements, maintenance agreements, RFPs, professional services agreements, and alliance partner/subcontractor agreements, while providing support to the relevant regional sales and services organizations in a broad range of commercial transactions.
  • Support and carry out Moody's business policies and practices, including preferred contract terms and compromise positions; gain familiarity with and observe compliance policies such as anti-bribery, economic and trade sanctions and competition law policies; navigate privacy and information security issues relating to Moody's SaaS and cloud-based products; and observe Moody's revenue recognition policies in the preparation and conclusion of contracts. The successful candidate must also explain these policies and procedures clearly to others.
  • As appropriate, collaborate with outside counsel and many of the company's other in-house lawyers, sales operations and finance staff, as well as product, support and delivery teams in the lines of business.
  • Navigate customer bureaucracies and work to effectively close deals in a timely manner on acceptable terms to Moody's.
  • Perform legal research and analysis on various legal issues affecting the corporation and its affiliates.
  • Answer questions and offer professional legal advice on a wide range of issues.
  • Complete special projects and/or provide guidance on other corporate projects and initiatives as needed.

About the team

Moody's Analytics (Moody's) seeks a highly qualified Senior Counsel to provide support to the Americas Sales organization. This position will be based in our headquarters at Moody's offices located in New York, NY or our offices in Charlotte, NC. The Senior Counsel position presents an opportunity to provide business-critical professional services in an important and growing segment of the company.

For US-based roles only: the anticipated hiring base salary range for this position is [[$163,300 - [[$236,800, depending on factors such as experience, education, level, skills, and location. This range is based on a full-time position. In addition to base salary, this role is eligible for incentive compensation. Moody's also offers a competitive benefits package, including not but limited to medical, dental, vision, parental leave, paid time off, a 401(k) plan with employee and company contribution opportunities, life, disability, and accident insurance, a discounted employee stock purchase plan, and tuition reimbursement.
